Six situations we see every week.
Capital and companies move in every direction between London, the US and Latin America. The legal work is the same in substance wherever you sit; what changes is who understands every end of the deal and can run them as one.
Latin American startups raising from UK, US and European investors
English-law term sheets, SAFEs and priced rounds, UK holding-company structures and the investor-ready documents international funds expect. Where US investors want US paper, our partner US firms deliver it under one plan.
Companies expanding to the UK, the US or Europe
UK incorporation, commercial contracts, SaaS and data terms and market-entry agreements. For a US entity or US-law contracts we bring in partner US counsel and manage the whole workstream.
Founders choosing a UK or Delaware top company
The choice usually follows the investor base. We advise on the English-law side, coordinate partner US counsel on the Delaware side and keep the cap table, option pool and SEIS or EIS position consistent across both.
UK, US and European funds investing in Latin America
Investment documents under English law, due diligence coordinated with local counsel and structures that work for the fund, its LPs and the founders.
Corporates doing cross-border M&A
Acquisitions, disposals and joint ventures across the UK, the US and the region, from heads of terms to completion and post-closing integration.
Investors and corporates from the region entering the UK market
Acquisitions of UK targets, UK subsidiaries and joint ventures, with the commercial, employment and regulatory touchpoints scoped and handled with specialists where needed.
Built for deals that cross borders.
Senior lawyers with experience in all three markets
Our partner-led team trained at a Magic Circle firm in London and São Paulo and has closed more than £4 billion of financings and M&A for founders, funds and corporates.
Qualified in English law, extended by partners
We advise on English law. For US matters we work with established US law firms, and for Latin American local law with trusted counsel in each country, under a single coordinated plan.
We work in your language
Matters run in English, Portuguese, Italian or Hungarian, with documents in English law and explanations that make sense in your home market.
One team, one timetable
You get a single point of contact who manages every adviser involved, so a three-jurisdiction deal feels like one conversation.
Fixed, price-guaranteed fees
A fixed estimate agreed before we start, with partner-firm and local-counsel costs scoped and quoted transparently alongside it.
Time zones that work
London overlaps the US East Coast morning and the whole Latin American working day, and we are always reachable by email, phone or WhatsApp.
Questions from founders and investors across the three regions.
Which law are you qualified to advise on?
English law. That covers the governing law most international investors prefer for venture and M&A documents, and it is where we do our own drafting and negotiation.
Can you help with US matters?
Yes, through partner US law firms. For Delaware entities, US securities points, US investor documents and US-law contracts we bring in established US counsel, scope their work alongside ours and manage the whole matter so you deal with one team.
Do you advise on Brazilian or other Latin American law?
No. Where a matter needs Brazilian, Mexican, Colombian or other local-law input, we bring in and manage trusted local counsel in that country and keep everything on one plan and one timetable.
Why do international investors prefer English-law documents?
English law is the most widely used governing law for cross-border venture and M&A documents. Investors and their counsel know the standard forms, which shortens negotiation and makes later rounds and exits easier.
UK or Delaware top company: which should a Latin American founder choose?
It depends mainly on where your investors sit and where you plan to list or sell. We walk through the trade-offs on the first call, advise on the English-law side and coordinate partner US counsel if Delaware is the answer, so the structure is decided once and done properly.
Do you work with funds investing into the region?
Yes. We act for UK, US and European venture and growth funds on investment documents, diligence coordination and portfolio support for Latin American holdings. See our page for funds.
Can we work in Portuguese?
Yes. Our senior lawyers work in Portuguese as well as English, Italian and Hungarian, so calls and explanations can be in your language while the documents stay in English law.
How do fees work for cross-border matters?
The same way as everything we do: a price-guaranteed estimate agreed up front for the English-law work, with partner-firm and local-counsel costs scoped and quoted separately and transparently.
